Terms and Conditions

This Terms of Use agreement ("Terms", "Terms of Use", "Terms and Conditions") is entered into between you (the "Firm," "You") and Harshit Raj Sharma ("Provider," "We," "Us," "Our"), the provider of the Accounting Business Management System [Accounting BMS] (the "Service").
Please read these Terms and Conditions carefully before using our Service.
By accessing, creating an account, logging in, or otherwise using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.
1. Description of Service
The Service is a comprehensive Accounting Business Management System designed specifically for accounting firms, CA firms, and tax practitioners in India. The Service enables firms to:
- Manage your Firm's client information
- Manage client data and communication
- Manage employees and client assignments
- Handle billing and generate invoices and receipts
- Maintain financial records and transaction history
- Track GST and IT return filings
- Generate comprehensive reports and dashboards
- Process payments and maintain ledgers
2. User Accounts and Responsibilities
Account Security: You are responsible for maintaining the confidentiality of your account credentials (usernames and passwords) and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
Accurate Information: You are responsible for the accuracy and legality of all data, including your client's data, that you or your employees input into the Service. You must ensure compliance with all applicable Indian laws and regulations, including the Income Tax Act, GST Act, and other relevant statutes.
Acceptable Use: You agree not to use the Service for any unlawful purpose or in any way that could harm the Service or its users. You must comply with all applicable Indian laws and regulations.
Professional Standards: As a professional service provider, you agree to maintain the highest standards of client confidentiality and professional ethics as required by the Institute of Chartered Accountants of India (ICAI) and other relevant professional bodies.
3. Data Ownership and Intellectual Property
Your Data: You (the Firm) retain full ownership of all client data, financial records, and any other information you upload to the Service ("Your Data"). We are merely a "Data Processor" acting on your behalf to provide the Service. We will not use, sell, or distribute your data for any purpose other than providing the Service.
Our Software: We (the Provider) retain all rights, title, and interest in and to the Service, including all underlying software, code, and intellectual property. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service. You do not own any part of our software.
Data Security: We implement industry-standard security measures to protect your data, including encryption, secure servers, and regular backups. However, you acknowledge that no system is completely secure and agree to use the Service at your own risk.
4. Subscription and Payment
Your use of the Service is based on a subscription model. Payment terms, fees, and billing cycles will be governed by a separate written agreement or invoice provided to you. All fees are due as per the terms specified in the invoice.
Billing: Subscription fees are billed in advance on a recurring basis. You must provide accurate and complete billing information. By submitting payment information, you authorize us to charge subscription fees to your chosen payment method.
Fee Changes: We may modify subscription fees at our sole discretion. Any changes will take effect at the end of the current billing cycle. We will provide reasonable prior notice of any changes.
Refunds: As we are in the initial stage of our SaaS journey, we focus on serious clients who need firm management software. We offer a one-month trial period at a trial cost that covers our server expenses. Once your trial ends and you subscribe to our service, no refunds will be provided as we are an early-stage SaaS and cannot accommodate refunds.
5. Professional and Legal Compliance
Professional Standards: You acknowledge that the Service is designed to assist professional accountants and tax practitioners. You remain solely responsible for ensuring compliance with all applicable Indian laws, regulations, and professional standards.
Tax Compliance: You are solely responsible for complying with all applicable tax regulations, including GST filing, TDS compliance, and income tax obligations. We only provide management and filing status storage services - we do not provide any kind of tax filing services. The filing statuses are created manually by the accountant and stored in our system for management purposes only. We operate in the management field only and do not provide tax advice or filing services.
Client Confidentiality: You must maintain the confidentiality of all client information as required by professional ethics and applicable laws. You agree not to disclose client information to unauthorized parties.
6. Data Processing and Privacy
Data Processing: We process your data solely for the purpose of providing the Service. We do not sell, rent, or share your data with third parties except as required by law or with your explicit consent.
Data Retention: We retain your data for as long as your account is active and for a reasonable period after termination to comply with legal obligations.
Data Backup: We maintain regular backups of your data to ensure business continuity. However, you are responsible for maintaining your own backups of critical data.
7. Termination
You may terminate your subscription by providing 30 days' written notice via email to sharmaharshitraj03@gmail.com or via Whatsapp or personal message. Upon termination, your access to the Service will be revoked.
We may terminate or suspend your account without prior notice for any reason, including violation of these Terms or non-payment of fees.
Upon termination, we will securely delete all of Your Data from our servers within 90 days after the termination date, unless otherwise required by law or professional obligations.
8. Limitation of Liability & Disclaimer
The Service is provided "as is." We make no warranties, express or implied, regarding its reliability, security, or performance. To the fullest extent permitted by law, the Provider shall not be liable for any indirect, incidental, or consequential damages arising out of your use of the Service.
Professional Disclaimer: We are not a professional accounting firm, tax advisor, or financial consultant. The Service is a tool to assist your professional practice, but you remain solely responsible for all professional decisions and compliance obligations.
Data Accuracy: While we strive to ensure data accuracy, we cannot guarantee the completeness, accuracy, or timeliness of any information processed through the Service. You are responsible for verifying all data before using it for professional purposes.
9. Indemnification
You agree to indemnify and hold harmless the Provider from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or breach of any applicable laws or regulations.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts in Jammu, India.
11. Changes to Terms
We reserve the right to modify or replace these Terms at any time. Material changes will be announced at least 30 days before they take effect. By continuing to use the Service after changes are effective, you agree to be bound by the new terms.
12. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

These Terms constitute the entire agreement between you and the Provider regarding the Service and supersede all prior agreements and understandings.
